Terms of Service

These Terms of Service ("Terms") govern your access to and use of AXIOM LLC ("Company," "we," "us," or "our") and our hardware liquidation services ("Services"). By accessing or using our Services, you agree to comply with these Terms. If you do not agree, you must not use our Services.

Definitions

• Hardware: Refers to physical computer components, including but not limited to GPUs, CPUs, motherboards, and other related devices submitted for liquidation.
• Services: Refers to the hardware liquidation process offered by the Company, including evaluating, offering, inspecting, and processing payments for submitted hardware.
• Site: Refers to the Company's website or any online platform used to facilitate the hardware liquidation process.
• User: Refers to any individual or entity accessing or using the Services.

1. Eligibility

• Age Requirement: You must be at least 18 years old to use our Services.
• Minors: All users who are minors in the jurisdiction in which they reside (generally under the age of 18) must have the permission of, and be directly supervised by, their parent or guardian to use the Services.
• Ownership of Hardware: You must be the legal owner of the hardware you submit for liquidation.

2. Information Submission

• Accuracy: You are responsible for providing accurate and complete information about the hardware you submit, including but not limited to:
  • GPU Chipset, Series, Brand, and Model
  • Quantity
  • Condition
• Verification: We reserve the right to verify the accuracy of the information you provide.
• Updates: You agree to update any information you provide to ensure its accuracy.

3. Transaction Process

• Offers: After reviewing your submission, we will provide an offer for your hardware.
• Acceptance: You must accept our offer within 48 hours to proceed.
• Inspection: All hardware is subject to inspection upon receipt.
• Payment: Payments will be processed via Cash, PayPal, Zelle, bank wire, or other payment methods.

3.5. Dispute Resolution

We strive to resolve disputes in a fair and transparent manner:

• Mismatched Descriptions:
  • Offer adjustment based on actual condition
  • Option for hardware return at your expense
• Incorrect Quantity: Offer adjustment with documented discrepancy
• Shipping Damage: Documented with photographs and revised offer

4. Shipping and Logistics

• Shipping Costs: Discussed and agreed upon at offer acceptance
• Damage During Transit: User responsibility for proper packaging
• Missing Items: We do not accept any liability for items that go missing or are damaged in transit
• International Shipping: International customers are responsible for their own shipping costs
• Ownership Transfer: Upon successful payment

5. Prohibited Activities

You agree not to:

• Submit stolen, counterfeit, or fraudulent hardware
• Misrepresent hardware specifications or condition
• Use automated systems to submit offers
• Engage in deceptive practices
• Violate applicable laws or regulations

6. Disclaimer of Warranties

The Services are provided "as is" and "as available," without warranties of any kind.

7. Limitation of Liability

To the fullest extent permitted by law:

• We are not liable for any indirect, incidental, special, consequential, or punitive damages.
• Our total liability for any claim arising out of or related to these Terms is limited to the amount paid to you for the hardware.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL AXIOM LLC OR ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, DISTRIBUTORS OR CONTRACTORS BE LIABLE FOR ANY COMPENSATORY, INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR SPECIAL DAMAGES, LOSS OF DATA, INCOME OR PROFIT, LOSS OF OR DAMAGE TO PROPERTY, OR ANY CLAIMS OF YOU OR OTHER THIRD PARTIES WHATSOEVER WITH RESPECT TO YOUR TRANSACTIONS WITH AXIOM LLC UNDER THIS AGREEMENT WHETHER BASED IN CONTRACT, TORT, NEGLIGENCE, WARRANTY, OR OTHERWISE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE MAXIMUM AGGREGATE LIABILITY OF AXIOM LLC ARISING OUT OF OR RELATING TO YOUR USE OF THE AXIOM LLC SERVICES EXCEED $100.

8. Termination

We reserve the right to terminate your use of the Services at any time for any reason.

9. Governing Law

This Agreement and each of the documents contemplated by or delivered under or in connection with this Agreement are governed by and are to be construed in accordance with the laws of Maryland excluding any rule or principle of conflicts of law that may provide otherwise. The parties to this Agreement hereby irrevocably and unconditionally attorn to the exclusive jurisdiction of the courts of Maryland and all courts competent to hear appeals therefrom.

10. Changes to These Terms

We may update these Terms at any time. Changes will be effective upon posting.

12. Accessibility Statement

13. Environmental and Recycling Compliance

We are committed to environmentally responsible practices in hardware disposal and recycling, complying with all applicable e-waste regulations.

14. Passage of Risk

You remain responsible for the risk-of-loss for any Hardware until we open the packaging containing the COMPONENT. Our responsibility for the risk-of-loss ceases at the point we deliver the package to the carrier if we return the Hardware to you for any reason.

15. Amendment

The terms of this Agreement can be altered at any time by us and without prior notice to you. Any alterations will be published online and will become effective immediately following publication. Your continued use of our Services constitutes your acceptance of any amendment. If you do not accept any amendment please discontinue use of our services immediately. It is your responsibility to review this agreement each time you use our services. The last date this Agreement was revised is set forth below.

16. Electronic Notices and Transactions

You agree to transact with us electronically, including without limitation, agreeing to terms and conditions or offering to sell your Hardware by electronic means. You authorize us to provide you with terms and important notices about AXIOM LLC and your transactions to an email address you provide to us or by posting notices on an applicable page on our website. It is your duty to keep your email address accurate and up to date and to maintain a valid email address and to ensure that emails we send you are not filtered or stopped by spam filters or other types of email blocking functionalities. You must provide any notices to us by email provided by us to you or through the contact us section on our website.

17. Order Communication

We may communicate to you via electronic mail correspondence ("email") and or via text message from time to time regarding the order(s) you placed on our website through the checkout process. These communications are intended as informational only. These communications are not intended as marketing any service or product, but rather simply a reminder to ship your item(s) to AXIOM LLC. Some of these notifications via email or text may briefly address common questions or concerns customers may have. Some informational examples may be topics like: how to determine the shipping carrier based on the return label emailed, or whether shipping to AXIOM LLC is safe or not, when price quotes may expire, what happens if Hardwares do not pass testing, how quickly will customers get paid after arrival, etc.

18. Valuation

All offers will be based on our own determination of the Hardware value in reliance on the accuracy of the information you supply us. AXIOM LLC will use its discretion to determine the value, taking into account factors that may include the Hardware's model, functionality and condition.

19. Import and Export Laws

You agree to comply fully with all import and export laws, regulations, rules and orders of the United States, or any foreign government agency or authority, and that you will not directly or indirectly transfer any COMPONENT without proper authorization from the U.S. and/or foreign government. You bear responsibility for and assume all expenses relating to your compliance with the described laws, regulations, rules and orders, and for obtaining all necessary authorizations and clearances in order to convey any COMPONENT to us, including without limitation, valuation, classification and duties applicable with the import of any goods.

U.S. trade sanctions administered by the Office of Foreign Assets Control (OFAC) generally prohibit the importation into the United States (including U.S. territories), either directly or indirectly, of most goods, technology, or services (except information and informational materials) from, or which originated from Cuba, Iran, Iraq, Libya, North Korea, Serbia, or Sudan; from foreign persons designated by the Secretary of State as having promoted the proliferation of weapons of mass destruction; named Foreign Terrorist Organizations; designated terrorists and narcotics traffickers.

You may not offer or provide to AXIOM LLC for sale, any COMPONENTs that would violate the provisions of this Section 14.

20. Removing Data From Your Product

For Products involving components that store files and/or personal or business data on hard drives, memory chips or the like. You must back up and store any data you wish to keep from your Product and remove any personal, customer, or business information from the Product before you send your Product to us for Trade-In or sale.

You are responsible to format or erase any data prior to sending your components for trade-in. AXIOM LLC makes no guarantee that it will remove or destroy data unless otherwise stated in clear writing. By sending AXIOM LLC your components, you agree to release us from any claim as to the Product, the data stored in such Product, or any information on any media used in conjunction with the Product and which you send to AXIOM LLC (whether in connection with a Trade-In or a Purchase), or for such data's security, integrity, confidentiality, disclosure or use.

AXIOM LLC is not responsible for: (a) any loss suffered by you, your business, or your customers, due to any data that is not erased from the device and transferred to a third party, or (b) any loss of data after you submitted the Product to us. You may not send, sell, or supply AXIOM LLC with any component that contains legal, public, confidential, or customer sensitive information.
